Terms of service & DPA

1. Terms of service

By installing MailMedic, Repeatly or ThemeMedic (each an “App”) you agree to these terms. The Apps are provided by MB „Liūto media“, a company registered in the Republic of Lithuania.

• Each App does what its listing and documentation describe. We may improve and change the Apps; material changes to these terms are published on this page.
• You are responsible for the content you configure — for example the wording of reminder emails — and for having a lawful basis to contact your customers.
• ThemeMedic modifies theme files only when you explicitly confirm a cleanup, and always creates a restorable backup first.
• MailMedic never modifies your DNS or your store; it reports what it reads.

2. Billing and cancellation

• Paid plans are billed through Shopify's billing system, in the currency Shopify charges you in.
• Free plans stay free; we will never convert a free plan into a paid one automatically.
• You can cancel at any time by downgrading inside the App or uninstalling it. Billing stops at the end of the current period; Shopify's own refund rules apply.
• If we ever change a price, existing merchants are told in advance and can cancel before it takes effect.

3. Acceptable use

You agree not to use the Apps to:

• Send messages to people who have not agreed to receive them, where consent is required by law.
• Attempt to access data belonging to other merchants, or probe our infrastructure without permission.
• Resell or white-label the Apps without a written agreement with us.

We may suspend an account that puts other merchants, recipients or our infrastructure at risk. Where possible we contact you first.

4. Warranties and liability

We work to keep the Apps available and correct, but they are provided “as is”. We do not guarantee uninterrupted service or specific commercial results.

To the extent permitted by law, our total liability for any claim is limited to the fees you paid us for the App concerned in the twelve months before the claim. We are not liable for indirect or consequential losses, such as lost profit. Nothing here limits liability that cannot be limited by law, including for intent or gross negligence.

5. Data processing agreement

This section forms the data processing agreement between you (the controller) and us (the processor) under Article 28 GDPR, and applies automatically when you install an App.

As processor we commit to:

• Process personal data only on your documented instructions and for the purposes above.
• Ensure that anyone with access is bound by confidentiality.
• Apply the technical and organisational measures described in our security policy.
• Engage sub-processors only under equivalent obligations, and announce new ones before they start.
• Assist you with data subject requests, including through Shopify's mandatory data webhooks.
• Assist you with security, breach notification and data protection impact assessments.
• Delete all personal data when the App is uninstalled, and let expired backups fall away within 7 days.
• Make available the information needed to demonstrate compliance, and allow reasonable audits.
• Notify you without undue delay after becoming aware of a personal data breach affecting your store.

6. Governing law

These terms are governed by the laws of the Republic of Lithuania, without prejudice to mandatory consumer protection rules in your country of residence. Disputes are subject to the courts of Lithuania, unless the law grants you the right to bring proceedings elsewhere.
